Acesita's Administrative Council is made up of 10 members, who are appointed by the shareholders as follows: four by Arcelor; eight by the fund that represents the Company's employees - Ciga; one by the preferred shares shareholders, currently appointed by BNDES Par.
The Administrative Council is independent from the Executive Board of the Company, being the presidents of both structures appointed by different representatives of the controlling group. Their term-of-office period is three years.

Jean-Yves André Aimé Gilet
Graduated in Engineering at École Polytechnique and École des Mines de Paris, Mr. Gilet served as Chief Executive Officer at Acesita from 1998 to 2000. He was Chief Executive Officer of Grupo Usinor Imphy S/A and Ugine Savoie, as well as General Director for La Meusienne S/A. At Usinor, he occupied the posts of Director for International Affairs and Director of Planning and Strategy. Mr. Gilet also headed the cabinet of the Ministry of Aménagement du Territoire et des Reconversions in France. Today, he sits on the Board of Directors of CST, is in charge of Arcelor’s stainless steel division and advisor to this company’s CEO.

José Armando de Figueiredo Campos
Mr. Campos is a Mining Engineer from the School of Mines and Metallurgy of the University of Ouro Preto. He has already served as Chief Executive Officer at CST, and worked in the areas of Mining, Development and Metallurgy of Companhia Vale do Rio Doce (CVRD). Mr. Campos was also President of the Brazilian Steel Institute (IBS) and President of the Latin American Institute of Iron and Steel (Ilafa). Today, he sits on the boards of the International Iron and Steel Institute (IISI) and of the Brazilian Corporate Council for Sustainable Development (CEBDS), in addition to acting as Chief Executive Officer and Director of the Flat Steels Business Division at Arcelor Brasil.

Antônio Alberto Gouvêa Vieira
Mr. Vieira is Chairman of the Advisory Boards of Banco Credit Agricole Brasil S.A and Portugal Telecom, as well as partner at Gouvêa Vieira Advogados. He sits on the Board of Directors of Leroy Merlin Cia. Brasileira de Bricolagem, having already served on Ambev’s Fiscal Board, and acted as member of the Board of Directors of Cia. Vidraria Santa Marina and Telesp Celular Participações. He holds a degree in Law from the Pontifical Catholic University of Rio de Janeiro, where he also took a graduate course in Business Administration.
Eustáquio Cota Magalhães
Mr. Magalhães is a Financial Analyst at Acesita. He also serves on the Fiscal Board of Acesita’s Employee Recreational Association (ALFA) and as Chairman of the Employee Investment Club of Acesita Group (CIGA). He graduated in Steel Engineering at the Pontifical Catholic University of Minas Gerais, and in Metallurgical Engineering at the Minas Institute of Technology. Finally, he took graduate courses in Financial Management at the Catholic Institute of Minas Gerais, and in Business Administration at UNA/FGV.
Guillaume Bazetoux
Mr Bazetoux holds a Barchelor’s degree in Economics from University Paris X and an MBA in Finance and Tax from Institut d’Etudes Politiques de Paris. He held several positions in financial areas at Usinor Sacilor Group. He served as Head of Finance and Cash Management Department at Aster/Ascométal and Chief Financial Officer at Industeel France & Belgium. At ArcelorMittal Stainless International, he served as Managing Director of Asian Countries and Vice-President of Finance and Business Development. He is currently Finance and Controlling Manager and Compliance Officer at ArcelorMittal Stainless World.
Luiz Anibal de Lima Fernandes
Mr. Fernandes has already served as Chief Executive Officer, Development Director, and Chief Finance & Investor Relations Officer at Acesita. He also occupied executive positions at Mendes Júnior Participações S/A, Eletrobrás, Siderbrás, Cemig, Gasmig and Basagro, in addition to acting as president for the Minas Gerais Development Bank (BDMG), the Association of Development Banks (ABDE), and Minas Gerais Participações S.A. (MGI). Mr. Fernandes graduated in Mechanical/Electrical Engineering at the Federal University of Minas Gerais (UFMG), having taken advanced and specialization courses in electrical systems, information technology, management and finance.
Michel Pascal André Payet-Gaspard
A graduate from École Polytechnique and the Sloan School of Management of the Massachussets Institute of Technology, Mr. Payet-Gaspard is President of Arcelor Stainless International. He acted as Commercial Director of Ugine’s Non-Flat Stainless Steel Products Division, managed Ascometal’s Hagondange mill, and was subsequently appointed President of Ascoforge, Ascometal’s Forged Steels Division. When he joined Usinor Group, Mr. Payet-Gaspard took over the Vice-Presidency of the Automotive Development Division. Back at Ugine, he was named Vice-President for Sales & Marketing. Finally, he became Senior Vice-President for U&A in 2002, upon the creation of Arcelor Group.
Matthias Jürgen Wellhausen
Graduated at the University of Hamburg in Macroeconomics. He started his
career at the Landesbank Kiel on Strategy and Product Development. He held
management postions in Controlling and Pricing at IBM. He was Treasury
Director for Northern Europe and Financial Director of Eko Stahl, where he
was in charge of all financial functions including Legal Affairs and Audit.
Nowadays, he is Director of the Program Office that is integrated with the
of Flat Business Management at Luxembourg, leading the optimization of the
SG&A of the sector.
Suzana Fagundes Ribeiro de Oliveira
Mrs Fagundes holds a Bachelor´s degree in Law from Pontifícia Universidade Católica de Minas Gerais and attended specialization course in Commercial Law and Economics from Fundação Getúlio Vargas. She also holds a Master degree in Law (LL.M.) from Northwestern University School of Law and a specialization certificate in Business Administration from JL Kellogg Graduate School of Management. She served, through Pro Jus S/C Advogados, as Legal Consultant for the Acesita Group and, at this Company, later, she managed the Legal Department. She worked at Shearman & Sterling in the Capital Markets Department, in New York. After that, she served, at Machado, Meyer Sendacz e Opic, as Senior Associate in the Corporate Finance Department and, later on, in charge of the Belo Horizonte Office. She is currently responsible for the Legal Department of ArcelorMittal Brasil in South and Central Americas.
